The primary role of our corporate finance team is to facilitate the right deal for our clients and their management teams. We work with business owners to help achieve their objectives. This includes selling their business, raising funds, obtaining grants, due diligence, valuations or restructuring through MBOs, M&As.

Over the last 10 years, we have completed 660 transactions with a value of over £2.6bn and a success rate of over 95%.

Our Corporate Finance team includes 21 senior dealmakers and supporting staff from a range of financial backgrounds in industry, banking and equity.

That makes us the largest and most active corporate finance team in the South.

Our clients rely on us for our deep understanding of deal issues. This includes how to prepare for a transaction on both buy and sell sides and for our proactive management throughout the process.

Importantly, we don’t just focus on the transaction element. We understand we help to change lives.

As part of our service we also offer integrated tax advice and financial planning, giving our clients the best support in managing their investments and retirement, post transaction.

Corporate Finance capabilities:

Business disposals – we specialise in selling and realising the best value for unquoted owner-managed businesses to both trade and private equity acquirers.

Management buy-out – an MBO can be an effective way for business owners to realise wealth. Furthermore, it can be done without significant disruption to their business, management, staff and customers. It will also position the business for the long term. We provide trusted assistance to either existing owners or the management team at all stages of the buyout process.

Mergers and acquisitions – we can help clients to secure a better future for their business by identifying merger and acquisitions opportunities, both locally and internationally and we will also assist in deal structuring and leading negotiations.

Due diligence – we have significant experience performing due diligence on businesses that range in size and complexity across a range of sectors, both nationally and in cross-border transactions. This includes reporting to corporate acquirers, debt and equity partners, joint venture funders as well as undertaking vendor due diligence.

Fundraising – we provide funding strategies at various stages of a business’ lifecycle. Our clients benefit from our excellent working relationships with a wide range of financiers including high street banks, private equity funds, venture capitalists, high net worth individuals and a large range of alternative investors.

Valuations – our valuations experts combine professional experience, industry knowledge, sound judgement, robust financial analysis skills, a comprehensive understanding of market risk and appropriate methodologies as part of our valuation process.

Financial modelling and business planning – we have experience in building and developing a wide range of financial models and business plans, from simple start-up/early stage plans to complex long term forecast models incorporating a wide range of inputs and assumptions for multiple scenarios and markets.

Tax planning and deal structuring – we combine the advantages of a dedicated corporate finance boutique with access to a full range of support services. These services include specialist taxation advice – a critical area in determining the success in any deal. Our expertise includes VAT and stamp duty liabilities considerations.

Grants advisory – our Grant Advisers work with existing businesses which are looking for help with capital investment, research and development, training and job creation/protection and consultancy/mentoring. Members of our team sit on various grant appraisal panels, giving us an all-round understanding of grant schemes and what it takes to land vital funds.

PERDa – for valuations we have developed our unique private company valuation database, which tracks real-time valuations by sector, date and size and which is now used by HMRC.

International deals – for cross border deals, we can draw on the PKF network (the global network of firms, of which we are a member). Recent deals include transactions completed in Europe, USA, Africa, Asia and Australia.

Energy & Infrastructure – we can provide a full range of services to clients in the energy and infrastructure industry, including accounts, audit, tax and corporate finance.
